flyExclusive has closed its acquisition of Jet.AI’s aviation assets, adding customers, aircraft, future delivery positions and financial securities to its platform as it continues to expand its private aviation operation.

The transaction includes Jet.AI’s Jet Card members, two HondaJet aircraft and a Citation CJ4, approximately $4.1m securing three future Citation CJ3 delivery positions scheduled for 2027, approximately $6.1m in publicly traded SpaceX shares held through a special purpose vehicle, and $5.3m in cash.

“We’re not simply adding assets. We’re adding customers who can immediately utilise our platform, aircraft that strengthen our fleet, future delivery positions that support our long-term growth, and financial assets to accelerate our growth and increase our flexibility,” said Jim Segrave, founder and CEO of flyExclusive.

The Citation CJ3 delivery positions were flagged by CFO Brad Garner as particularly valuable in the current market. “In today’s aircraft market, delivery positions are strategic assets in their own right. Securing future production slots provides visibility into fleet expansion and supports our ability to continue growing one of the strongest light jet fleets in private aviation,” he said.

The SpaceX shares, held through a special purpose vehicle subject to a staggered lock-up expiring by December 2026, are expected to be monetised to fund fleet growth and operating initiatives.

“Every asset acquired must earn its place by contributing to long-term shareholder value,” Garner added. “Whether through additional flying activity, future fleet growth or financial flexibility, we believe this transaction positions flyExclusive to continue executing and compounding value for shareholders.”

The acquisition follows flyExclusive ranking as the number one North American Part 135 operator by both flight hours and flight count in May 2026, surpassing 7,000 flight hours in a single month.
